1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Nut Card platform, including our websites, applications, card programs, and related products and services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" and "your" will refer to that entity.
2. Other applicable terms
Your use of the Services is also subject to:
- Our Privacy Policy, which explains how we collect and use your information.
- Any product-specific or program-specific terms that apply to certain features, cards, or payment services.
- The terms and conditions of third-party providers, such as card issuers, banks, and payment processors, where applicable.
In the event of a conflict between these Terms and specific program or issuer terms, those specific terms may take precedence for the relevant product or service.
3. Eligibility and account registration
3.1 Eligibility
To use the Services, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction, if different).
- Have the legal capacity to enter into a binding contract.
- Comply with all applicable laws, regulations, and sanctions regimes.
For business or organization accounts, you must also ensure that:
- The organization is duly incorporated and authorized to operate in the relevant jurisdiction(s).
- You are authorized to act on behalf of the organization and to accept these Terms.
We may refuse, suspend, or revoke access to the Services if we believe these requirements are not met.
3.2 Account creation
You may need to register an account to access certain Services. When you do:
- You must provide accurate, current, and complete information.
- You must keep your login credentials secure and not share them with others.
- You are responsible for all activities that occur under your account.
If you suspect any unauthorized use of your account or a security breach, you must notify us promptly.
3.3 Verification and KYC
We, or our partners, may require you to undergo identity verification or "know your customer" (KYC) checks before granting access to certain features, card programs, or transaction limits. You agree to provide any information or documentation reasonably requested for this purpose.
If you do not provide required information, or if we cannot verify your identity to our satisfaction, we may suspend or restrict your access to the Services.
4. Services and acceptable use
4.1 Description of Services
Nut Card provides tools and infrastructure that may include:
- Card issuance and card management functionality.
- Payment and transaction initiation, including deposits, top-ups, and transfers.
- Dashboards and interfaces for organizations to manage teams, cards, and spending.
- APIs and integrations that allow organizations to connect external systems.
The exact scope of Services available to you may depend on your region, organization configuration, issuer arrangements, and applicable law.
4.2 Acceptable use
You must use the Services in a lawful, responsible, and reasonable manner. You agree not to:
- Use the Services for any illegal activity, including money laundering, terrorist financing, fraud, or sanctions evasion.
- Violate any applicable laws or regulations, including financial services, consumer protection, data protection, and export control laws.
- Interfere with, disrupt, or negatively affect the normal operation of the Services or any related networks.
- Attempt to gain unauthorized access to any systems, accounts, or data.
- Reverse-engineer, decompile, or disassemble any part of the Services, except where permitted by law.
- Use the Services in a manner that could damage, disable, overburden, or impair our infrastructure.
- Use the Services for high-risk activities that require fail-safe performance where failure could lead to death, personal injury, severe environmental damage, or significant financial loss, unless expressly agreed in writing.
We reserve the right to investigate and take appropriate action (including suspension or termination) if we suspect any violation of these Terms or applicable law.
5. Card programs and payments
5.1 Relationship with issuers and payment partners
Certain card and payment features are provided in collaboration with regulated third-party providers, such as card issuers, banks, and payment processors ("Payment Partners").
In many cases:
- Nut Card provides the software interface and administrative tools.
- Payment Partners are responsible for issuing cards, holding funds, and processing payments, subject to their own regulatory obligations and terms.
Where applicable, your use of cards or payment functionality is subject to both these Terms and the relevant issuer or partner terms provided to you during onboarding.
5.2 Transaction authorization
You authorize Nut Card and our Payment Partners to:
- Initiate, process, and settle transactions that you or your authorized users submit through the Services.
- Deduct fees, charges, and adjustments as disclosed in applicable pricing or program terms.
You are responsible for ensuring that:
- You have sufficient funds or limits available for transactions.
- All transaction instructions provided through the Services are accurate and authorized.
5.3 Chargebacks, disputes, and reversals
Transactions may be reversed, disputed, or subject to chargebacks in accordance with:
- Network rules (for example, card schemes).
- Issuer policies.
- Applicable law.
You acknowledge that:
- We or our Payment Partners may debit or withhold amounts associated with chargebacks, disputes, or reversals.
- You may be responsible for any resulting losses, fees, or penalties if such activity is linked to your use of the Services or a breach of these Terms.
5.4 Prohibited transactions
We may refuse, block, or reverse any transaction that:
- Appears to violate these Terms, applicable law, or partner or network rules.
- Exceeds limits or thresholds set by us, our Payment Partners, or regulators.
- We reasonably believe to be suspicious or high-risk.
We are not liable for any loss resulting from our decision to block, delay, or refuse a transaction where we act in good faith to comply with legal or regulatory obligations or these Terms.
6. Fees, taxes, and changes
6.1 Fees
We may charge fees for certain Services, which may include:
- Subscription or platform fees.
- Card issuance and replacement fees.
- Transaction, top-up, withdrawal, or currency conversion fees.
- Other charges disclosed in applicable rate schedules or program terms.
We will communicate applicable fees in advance via the Platform, your contract, program documentation, or other written communication.
6.2 Taxes
You are responsible for:
- Any taxes, duties, or similar governmental assessments associated with your use of the Services.
- Complying with your own tax reporting and obligations, where applicable.
We may withhold or remit taxes where required by law.
6.3 Changes to fees
We may update fees from time to time. We will provide reasonable notice of changes where required by law or contract.
Your continued use of the Services after a fee change becomes effective constitutes your agreement to the updated fees.
7. Intellectual property
7.1 Our rights
The Services, including all software, interfaces, documentation, logos, and content (excluding your data and third-party content), are owned by or licensed to Nut Card and are protected by intellectual property and other laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use, as applicable.
You must not:
- Copy, modify, or create derivative works based on the Services.
- Resell, sublicense, or otherwise provide the Services to third parties, except as permitted by a separate written agreement.
- Remove, obscure, or alter any proprietary notices or trademarks.
7.2 Your content and feedback
You retain all rights in the content, data, and materials you submit to or through the Services ("Your Content").
You grant us a worldwide, non-exclusive, royalty-free license to use, host, copy, modify, and display Your Content solely as necessary to:
- Provide, maintain, and improve the Services.
- Comply with applicable laws, regulations, or legal processes.
If you submit feedback, ideas, or suggestions about the Services ("Feedback"), you agree that we may use such Feedback without restriction or obligation to you.
8. Data protection and privacy
We process your personal data in accordance with our Privacy Policy, which forms part of these Terms.
By using the Services, you acknowledge that:
- You have read and understood our Privacy Policy.
- You will comply with applicable data protection laws when using the Services (for example, obtaining appropriate notices and consents from individuals whose data you submit to the Services).
Where you act as a controller of personal data and Nut Card acts as your processor, additional data protection terms may apply as part of a separate data processing agreement.
9. Suspension and termination
9.1 Our right to suspend or terminate
We may suspend or terminate your access to the Services, in whole or in part, at our discretion, including if:
- You breach these Terms or any applicable policies.
- We suspect unauthorized, fraudulent, or unlawful activity.
- We are required to do so by law, regulators, or Payment Partners.
- Continued provision of the Services is no longer commercially or technically feasible.
We will use reasonable efforts to notify you of the reasons for suspension or termination where permitted by law and where doing so would not compromise security, investigations, or regulatory obligations.
9.2 Your right to terminate
You may stop using the Services at any time and may request closure of your account where applicable.
Certain contractual commitments (for example, minimum terms, outstanding fees, or obligations towards Payment Partners) may continue to apply even after you stop using the Services.
9.3 Effect of termination
Upon termination:
- Your right to access or use the Services will cease.
- We may retain certain data as required or permitted by law, our Privacy Policy, or applicable contract.
- Sections of these Terms that by their nature should survive (for example, intellectual property, limitation of liability, indemnity, and dispute resolution) will continue to apply.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis.
We do not guarantee that:
- The Services will be uninterrupted, error-free, or free of harmful components.
- The Services will meet your specific requirements or expectations.
- Data or content will be accurate, complete, or up to date at all times.
To the extent permitted by law, we disclaim all warranties and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law:
- Nut Card and its affiliates, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use of (or inability to use) the Services.
- Our total aggregate liability arising out of or relating to the Services or these Terms will be limited to the greater of (i) the amount of fees you paid to us for the Services in the 12 months preceding the event giving rise to the claim, or (ii) a reasonable fixed amount where no fees have been paid.
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law (for example, for fraud or gross negligence).
12. Indemnity
You agree to indemnify, defend, and hold harmless Nut Card and its affiliates, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or any applicable law.
- Your misuse of the Services.
- Any claim regarding Your Content or data submitted to the Services.
We may, at our own expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in that defense.
13. Changes to the Services and to these Terms
We may update or modify the Services, introduce new features, or discontinue certain functionality from time to time.
We may also update these Terms to reflect changes in our Services, technology, legal requirements, or business practices.
When we make material changes to these Terms, we will take appropriate steps to notify you (for example, via the Platform or by email) and, where required by law, obtain your consent.
Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
14. Governing law and disputes
Unless otherwise required by mandatory local law:
- These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction specified in your contract or account documentation. If no jurisdiction is specified, the laws of the jurisdiction in which the Nut Card Entity is established will apply, without regard to conflict-of-laws principles.
You and Nut Card agree to:
- First attempt to resolve disputes informally by contacting each other and providing a reasonable opportunity to resolve the issue.
- Submit disputes that cannot be resolved informally to the competent courts of the relevant jurisdiction, unless otherwise required by applicable consumer protection or mandatory laws.
Nothing in this Section limits your rights to bring complaints to regulatory bodies or other competent authorities.
15. Miscellaneous
- Entire agreement: These Terms, together with any additional terms referenced herein, constitute the entire agreement between you and Nut Card regarding the Services and supersede any prior agreements or understandings.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or other corporate transaction.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No waiver: Our failure to enforce any provision of these Terms will not be deemed a waiver of our rights.
- Language: Where these Terms are provided in multiple languages, the version specified in your contract or the English version (if not specified) will prevail in the event of a conflict.
